The R+F Solution Tool Promotion
OFFICIAL RULES (“Official Rules”).

NO PURCHASE NECESSARY TO ENTER THE PROMOTION.
A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

1. Promotion Timing: The R+F Solution Tool Promotion (the “Promotion”) begins 12:00 a.m. United States Pacific Time (“PT”) on January 7, 2023. For residents of the United States and Canada (except Quebec), the Promotion ends at 11:59 p.m. PT on January 31, 2023; for residents of Australia, the Promotion ends at 11:59 p.m. Australian Western Standard Time on January 31, 2023 (the “Promotion Period”). In United States and Canada, the Promotion is commonly known as a sweepstakes.

2. Eligibility: The Promotion is open only to legal residents of the fifty (50) United States (including the District of Columbia), Guam, Puerto Rico, Canada (excluding Quebec) and Australia, who are at least the age of majority in the jurisdiction in which they reside as of the date of entry (an “Eligible Entrant”). Employees of Rodan & Fields, LLC (the “Sponsor”), Probability, LLC (“Administrator”), their respective parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional and judging agencies, and their immediate family members (spouses, parents, children, and siblings and their spouses) and household members of each (whether related or not), are not eligible to participate or win. Active Rodan + Fields Consultants are NOT Eligible Entrants. Void outside above-indicated areas and where prohibited by law. All federal, state, provincial, and local laws and regulations apply.

3. How to Enter the Promotion: Eligible Entrants may enter the Promotion by completing the R+F Solution Tool Quiz (“Quiz” or “Solution Tool Quiz”) which is available via a link to be provided by an active Rodan + Fields consultant (a “Consultant”). An Eligible Entrant who does not have a Consultant may find one by visiting this “Find A Consultant” page on the Sponsor website at https://www.rodanandfields.com [US]; https://www.rodanandfields.ca [CAN]; https://www.rodanandfields.com.au [AUS] selecting a Consultant and sending that Consultant a request to receive a link to the Solution Tool Quiz. Upon completion of the Quiz, an Eligible Entrant will receive one (1) entry into the Promotion (each, an “Entry”) and be considered an “Entrant.” An Eligible Entrant’s responses to the Quiz will not be taken into account in the winner selection process and will not affect his/her odds of winning a prize. However, the Quiz must be completed in its entirety in order to result in entry.

Note to Persons Without A Consultant: Any Eligible Entrant who selects a Consultant by following the instructions above and sends that Consultant a request for a link to the Quiz but does not receive a response from the Consultant may still enter by sending an email to sweepstakes@rodanandfields.com before January 23, 2023 at 5:00 p.m. PT/January 24, 2023 at 9:00 a.m. Australian Western Standard Time and requesting to be connected to a Consultant, in which case Sponsor shall connect that Eligible Entrant with a Consultant who will provide that Eligible Entrant with a link to the Quiz. In such case, the Eligible Entrant must complete the Quiz before the end of the Promotion Period. All Entries must be completed by the end of the Promotion Period.

Limit one (1) entry per person regardless of number of requests for link to Quiz. All Entries must be received during the Promotion Period. Any attempt by an Entrant to enter by using multiple/different email addresses, mailing addresses, identities, registrations and logins, or any other methods will void such entries and that entrant may be disqualified. Use of any automated or computer system to participate online is prohibited and will result in disqualification. Link (and opportunity to enter Promotion by completing Quiz) is only valid for the person who received it directly from Consultant; link cannot be transferred to another party. Normal Internet access and usage charges imposed by your online service may apply; the preceding includes wireless carrier charges.

Entries that are not in accordance with these Official Rules as stated herein or are not received during the Promotion Period will be ineligible.

4. Privacy: Information collected from Entrant is subject to Sponsor’s Privacy Policy at https://www.rodanandfields.com/en-us/privacy-policy (US); https://www.rodanandfields.ca/privacy-policy (CAN); and https://www.rodanandfields.com.au/privacy-policy (AUS) and will be used and disclosed for the purpose of administrating this Promotion. For Canadian and Australian Entrants, your personal information will be transferred to the United States which may not provide as robust protection for your personal information as your home country. Accordingly, for Australian Entrants, by entering the Promotion you consent to subclause 8.1 of the Australian Privacy Principles not applying to the disclosure of your personal information. This section does not limit any other consent(s) that an Entrant may provide the Sponsor in relation to the collection, use and/or disclosure of their personal information.

5. Promotion Drawing: Five (5) Grand Prize winners, one hundred (100) First Prize winners and one thousand (1000) Second Prize winners will be selected to receive prizes as described below in a random drawing on February 6, 2023 at 9:00 a.m. Pacific Time (“Drawing Date”) from among all eligible Entries received during the Promotion Period. The drawing will be conducted by Administrator, whose decisions are final on all matters relating to the Promotion, subject to any directions from a regulatory authority. Administrator will conduct the drawing at its offices at 2 Woodstock Meadows Ln, Woodstock, NY 12498 U.S.A. Odds of winning are dependent upon the total number of eligible Entries received during the Promotion Period.

For Australian Capital Territory and South Australian residents only: If a potential prize winner is a resident of either the Australian Capital Territory or South Australia and the prize remains unclaimed after one month, an unclaimed prize drawing will take place on March 7, 2023 at 9:00 a.m. Pacific Time (Unclaimed Prize Drawing Date) from all remaining eligible Entries received during the Promotion Period. The unclaimed prize drawing will be conducted by Administrator, whose decisions are final on all matters relating to the Promotion, subject to any directions from a regulatory authority. Administrator will conduct the unclaimed prize drawing at its offices at 2 Woodstock Meadows Ln, Woodstock, NY 12498 U.S.A. Potential prize winners will be contacted via the email used to enter the Promotion within 7 days of the Unclaimed Prize Drawing Date.

If a Canadian resident’s entry is selected in the drawing, Entrant will be required to correctly answer a mathematical skill-testing question without mechanical or other assistance of any kind, within a predetermined time limit, as a pre-condition to becoming a potential winner.

6. Winner Notification/Prize Redemption: Potential Grand Prize winners will be contacted via the email used to enter the Promotion within 7 days of the Drawing Date, and will be required to sign and return an Affidavit of Eligibility & Liability Release and where legal, a Publicity Release (collectively, the “Winner Documents”), within three (3) days (seven (7) days in Puerto Rico and fourteen (14) days in Australia (subject to the unclaimed prize drawing)), or the Grand Prize may be forfeited. If the Winner Documents are not completed and returned within the stated time above or returned as undeliverable, or a potential Grand Prize winner is not eligible, an alternate potential Grand Prize winner will be selected by the Administrator. First Prize and Second Prize Selected Entrants will be contacted via email, to obtain winner’s contact information and mailing address to mail the First Prizes or Second Prizes (as the case may be) within 7 days of the Drawing Date. Potential First Prize/Second Prize winners will have three (3) days (seven (7) days in Puerto Rico and fourteen (14) days in Australia (subject to the unclaimed prize drawing)) to respond to this notification or the prize may be forfeited, and an alternate First Prize or Second Prize winner (as applicable) may be selected. First Prizes and Second Prizes will be mailed to winners within 28 days from receipt of contact information and any completion of any required Winner Documents. Return of a prize as undeliverable may result in disqualification and an alternate Selected Entrant may be chosen. Taxes on prizes are the sole responsibility of winners. Grand Prize winners will be issued a 1099 tax form (or other tax form[s] for non-U.S. residents). Affidavits of eligibility may require winner’s social security number (or local equivalent outside of the U.S.) Non-U.S. residents who win prizes may also be subject to U.S. foreign withholding tax.

7. Prizes and Approximate Retail Values (“ARV”): Five (5) Grand Prizes: luxury spa trip for two (2) (winner and one [1] guest) awarded as a $4,000.00 USD e-gift card/e-gift certificate to a travel site of Sponsor’s sole choosing (subject to terms and conditions of use). ARV of each Grand Prize is $4,000.00 USD. First Prize (100): $100 USD cash or cash equivalent. ARV of each First Prize is $100.00 USD. Second Prize (1000): Rodan & Field product pack including: one (1) Recharge Detox Mask, one (1) Active Hydration Serum and one (1) REFRESH+ Dry Shampoo. ARV of each Second Prize is $211.00 USD. Total ARV of All Prizes Offered to Eligible Entrants: $241,000.00 USD. All unspecified expenses involved in accepting or using a prize are the winner’s sole responsibility. No transfer, substitution or cash equivalent for any prize will be permitted, except (a) for Grand Prize, where required by applicable law; (b) for First Prize; and (c) for Second Prize, at the sole discretion of the Sponsor and in such circumstance, an alternate prize (or portion of prize) of equal value will be awarded and the Sponsor’s obligation to the winner will be fulfilled, and no other additional compensation will be provided. Acceptance of a prize constitutes permission for the Sponsor and its agencies to use winner’s name and/or likenesses for purposes of advertising and trade without further compensation, unless prohibited by law. Limit one (1) prize per Entrant.

8. General Rules: By participating in the Promotion, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Administrator, subject to any directions from a regulatory authority. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials (including any statement or representation made by Consultant) and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Entries become the property of the Sponsor. The Sponsor and its agencies (including Administrator) are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in any of the websites or the Promotion or by any human error which may occur in the processing of the entries in the Promotion, the processing of requests for links, or for any liability for damage to any computer system resulting from participation in, accessing or downloading information on any websites or in connection with the Promotion. In the event of a dispute as to any Entry, the authorized account holder of the email address used to enter will be deemed to be the Entrant. Winners may be required to show proof of being the authorized account holder of the email address associated with the Entry. Proof of entering information does not constitute proof of delivery or receipt of such information. Sponsor and Administrator (as identified in these Official Rules) are not responsible for the failure of any email, entry or request for link to be received by Sponsor/Administrator on account of technical problems or congestion on the internet or at any website. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Promotion; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then the Sponsor reserves the right at its sole discretion to cancel the Promotion and select the winners from among all eligible Entries received prior to cancellation. Sponsor will post a notice of taking such action on the Rodan + Fields website https://www.rodanandfields.com [US]; https://www.rodanandfields.ca [CAN]; https://www.rodanandfields.com.au [AUS], to the extent feasible. By participating in the Promotion, to the fullest extent allowed by applicable local law or public policy, Entrants agree that Sponsor, Administrator and their respective parents, subsidiaries, affiliated companies, agents, retailers, advertising and Promotion agencies and all of their respective shareholders, officers, directors, employees and assigns, members, representatives and agents, will have no liability whatsoever for, and will be held harmless by entrant for any liability for any bodily injury, loss, cost or damages of any kind to persons, including death and property damages sustained due in whole or in part, directly or indirectly, from Entry creation, the acceptance, possession, use or misuse of the prizes or participation in the Promotion or participation in any Promotion or related activity. The preceding excludes any right or privilege that cannot be limited/modified/waived by a consumer pursuant to applicable local law or public policy. Despite the foregoing, nothing in these Official Rules limits, excludes or modifies or purports to limit, exclude or modify any statutory consumer guarantees or any implied condition or warranty the exclusion of which from these Official Rules would contravene any statute or cause any part of these Official Rules to be void. By entering the Promotion, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents.

9. Governing Law: Except for Australian Entrants, the Promotion and the Official Rules shall be exclusively governed by and construed in accordance with the laws of the state of California (U.S.A.), without regard to conflicts of law provisions. For Australian Entrants, the Official Rules shall be exclusively governed by and construed in accordance with the laws of the State or Territory in which the Australian Entrant resides. Entrants (excluding Australian Entrants) submit to exclusive personal jurisdiction in California and agree that any dispute shall be brought in the state or federal courts in California. You agree that: (a) any and all disputes, claims and causes of action arising out of, or connected with the Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California in the United States; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion, but in no event attorney’s fees; and (c) notwithstanding the foregoing, you waive the right to claim any damages, whatsoever, including, but not limited to, punitive, consequential, direct or indirect damages.

10. WINNERS: To receive a Winners List by email, send an email to: winnerslist@probabilityworks.com with: The R+F Solution Tool Promotion Winners as the subject line. Requests must be received by February 13, 2023 at 9:00 a.m. United States Eastern Time/10:00 p.m. Australian Western Standard Time. Winners List will be sent after prizes have been awarded.

For South Australian residents only: Except where a South Australian winner has requested their name and postcode not to be published, the first initial, surname and postcode of South Australian winners will be published on the Administrator's website at www.probabilityworks.com within 30 days of the Drawing Date or Unclaimed Drawing Date (as the case may be).
